General Terms and Conditions

Introduction

Workers Hut ("we," "us," or "our") provides coworking services in Victoria, Australia. By using our services, all members ("you," "your") agree to these Terms and Conditions.

1. Definitions

In these Terms and Conditions, the following terms and conditions shall have the meanings specified:

• "Workers Hut": Kipiko Pty Ltd ACN 602 991 846, trading as Workers Hut.

• "Space": Workers Hut locations, currently at 17 and 19 Baines Crescent, Torquay, Victoria, Australia, and any future locations.

• "Services": All amenities and resources provided to members, including access to workspaces, meeting rooms, communal areas, internet access, printing facilities, kitchen use, coffee, and any additional services offered by Workers Hut.

• "Facilities": The physical premises, equipment, and infrastructure used to provide the Services.

• "Member": Any individual, sole trader, or company granted Membership by Workers Hut.

• "Membership": The right to access and use the Services and Facilities, subject to these Terms and Conditions.

• "Fees": Charges applicable to Membership and use of Services, determined by the selected Membership tier as outlined in the pricing schedule. Fees may vary based on usage, duration, or specific Services accessed.

• "Portal": The online Member platform provided by Workers Hut for managing Membership and accessing Services.

• "Your Property": Any equipment, documents, or possessions that you bring into the Space.

• "Website": The official Workers Hut website located at (https://www.workershut.com).

2. Space

The Space is a shared environment, and you are expected to use it, along with the Portal, with respect and consideration for others. Any use of offensive language—including, but not limited to, slurs, threats, harassment, or discriminatory actions—abuse of staff or other Members, or damage to property will result in immediate removal and termination of your Membership. Repeated or severe violations may lead to permanent expulsion from the Space.

3. Membership

Membership is open to individuals and companies who meet the requirements set by us. To be eligible for Membership, applicants must meet the following criteria:

• Be at least 18 years of age.

• Reside in Australia or have a valid Australian business address.

• Be engaged in a legitimate business or professional activity.

Members must provide accurate information, including their name, email and mailing address, mobile phone number and payment details. Membership is personal and non-transferable, including within companies. Additional staff or employees must register separately for their own Membership. We reserve the right to refuse or terminate Membership without notice.

Your Membership entitles you to access and use the Portal. Your Portal login details are personal to you and must not be shared with anyone else. You should take sufficient care in ensuring the security of your login details and contact us immediately if you believe that someone else has access to them or is using them. You agree to change your password immediately if you suspect a breach of security. You must use the Portal in accordance with the Terms and Conditions accepted by you when you first login, as amended from time to time.

4. Use of Services

Membership is required to use our Services, subject to availability and additional terms, such as credit checks or deposits. Members may use the Space and services during operating hours. We reserve the right to change hours or services without notice. Services must be used professionally and legally.

5. Fair Use by Members

To maintain fair use of the Space and Services at the quoted fees, Members must:

a. only use the Space for the number of days per month and during the times allocated to your Membership.

b. limit the number of guests you bring into the Space. Excluding meeting room bookings and venue hire, we consider that one guest for up to two hours is reasonable. Please understand that to be fair to other Members, we may need to limit guest access during peak times. If, for whatever reason, you need additional guest access, please talk to us to see what can be arranged.

c. limit printing to a reasonable amount. For a single person, reasonable printing usage is up to 30 pages per week. Printing is for essential business needs only. Large-format or bulk printing may incur additional fees, which must be arranged in advance. We reserve the right to adjust printing limits or apply charges for usage exceeding this limit.

d. You must not use the internet access provided for excessive downloads, defined as exceeding 10GB per day, or for any illegal purpose, including but not limited to, the downloading of pirated content. Internet usage should be for legitimate business purposes only and not for recreational activities such as gaming, streaming, or similar high-bandwidth activities.

e. If your guests would like to work in the Space for all or part of the day, they are welcome to purchase a day pass or discuss membership options by contacting our staff in the Space or via phone or e-mail.

f. Guests are only allowed in the Space during business hours (9 am-5 pm, Monday to Friday, excluding public holidays).

g. Continued abuse of the fair use requirements may result in the suspension or termination of your Membership, which may include, but is not limited to, exceeding guest limits or engaging in disruptive behaviour. Members are encouraged to report any concerns about fair use to management for review.

Workers Hut reserves the right to monitor printing limits and Internet usage. Members will be notified if usage consistently exceeds the fair use limits, and additional fees may be applied.

6. Fair Use of Rubbish Disposal and Cleanliness

Members are expected to keep a clean and tidy environment within the Space to ensure a healthy and pleasant environment for all.

All rubbish and waste must be disposed of in the designated bins provided throughout the facility. Designated rubbish and recycling bins are found throughout the facility for easy access. Members should refrain from leaving personal items, food waste, or any other rubbish in communal areas, meeting rooms, or their workspaces.

To promote a positive and hygienic environment, members are encouraged to:

• Dispose of Rubbish: Use recycling bins for recyclable materials and general waste bins for non-recyclables. Waste, including packaging, must be cut, flattened, and compressed before disposal. No items larger than 30cm x 30cm should be placed in the bins. Members must take home any personal or non-business-related waste to help keep the cleanliness of the Space.

• Clean Up After Use: Place all dirty dishes in the dishwasher after use. Members should ensure that the dishwasher is properly loaded and run as needed.

• Maintain Hydration: Clean and refill water bottles and place them in the refrigerator if applicable. Members should also ensure that the refrigerator is kept tidy and free of expired items.

• Minimise Waste: Be mindful of waste generation by using digital resources and minimising single-use items.

• Report Issues: Promptly report any overflow or issues with rubbish disposal or cleanliness to staff for timely resolution. Failure to follow these guidelines may result in corrective actions, which can include verbal or written warnings, penalties, or suspension of Membership, depending on the severity of the violation.

7. Fair Use for Deliveries and Virtual Mail Service

• Business-Related Mail and Deliveries Only: Members may use the Workers Hut address solely for business-related mail and deliveries. Personal mail and packages are prohibited and will be rejected and returned to the sender.

• Mail and Delivery Size Limits: All mail and packages must not exceed 60cm x 60cm x 60cm in size or weigh more than 10kg. Packages that exceed these limits will not be accepted.

• Mail and Delivery Collection Timeline: Members must collect their mail and deliveries within 5 business days of notification from Workers Hut. Items uncollected after this period may incur a storage fee of $5 per day, and any items not collected within 14 business days will be returned to the sender.

• Mail Forwarding Requests: Members may request the forwarding of mail to an alternative address within Victoria, Australia. All forwarding requests must be made in writing, and the Member is responsible for postage and a handling fee of $10 per item. Forwarding requests must be submitted at least 2 business days prior to the desired dispatch date.

• Advance Notification for Deliveries: For any business-related delivery larger than 40cm x 40cm x 40cm, Members must notify Workers Hut at least 24 hours in advance to allow for proper arrangements. Failure to notify may result in refusal of the delivery.

• Prohibited Items: Workers Hut will not accept any illegal, dangerous, or perishable items. Such items will be refused and may be reported to relevant authorities.

• Liability for Loss or Damage: Workers Hut is not liable for any loss, damage, or theft of mail or packages once they are delivered. Members must collect their mail promptly or make suitable arrangements for high-value items.

• Termination of Virtual Mail Service: The virtual mail service is provided as part of membership and will cease immediately upon termination or expiration of membership. Workers Hut will no longer receive or forward mail on behalf of the member after termination. Any mail received post-termination will be returned to the sender.

8. Payment

Members must pay for services as per the set prices and terms. We may change prices at any time. Failure to pay on time may result in termination, and members are responsible for any debt recovery costs. Members must provide valid payment details and update billing information via the Portal at least 30 days in advance. If a member fails to pay any fees within 14 days of the due date, we may choose to charge a late fee of 8% of the outstanding balance, which will be applied immediately. In addition, if the payment remains unpaid beyond 30 days from the original due date, we may also apply interest at the rate of 8% per annum on any outstanding amounts, calculated daily, until full payment is received. Continued non-payment may result in the suspension of Membership and services until outstanding balances are cleared.

You are responsible for all taxes and charges associated with the Services, including but not limited to value-added tax, goods and services tax, sales tax, other government charges, and any overdue payment fees. Unless you are notified otherwise, the fees and any other prices referenced on our website or otherwise communicated to you are quoted exclusive of GST.

Unless otherwise agreed between us, we only accept payment of the Fees by Bank Transfer or automatic direct debit from a credit card nominated by you (Visa and Mastercard). Please note that any credit card transactions may incur an additional processing fee of up to 3%, which reflects the charges typically applied by payment processors like Stripe. The Fees will be debited monthly in advance from your nominated account on the anniversary date of your registration each month, or the next available business day, and will continue to be debited until your Membership ends.

9. Termination of Membership

We may terminate your Membership with written notice. After termination, you must immediately stop using all Services and return any Workers Hut property. All outstanding fees remain payable.

Members have the right to appeal a termination decision within 7 days of notice. Appeals must be submitted in writing and will be reviewed by Workers Hut management within 7 days.

10. Termination Notice Period

Members with a Membership duration of less than 6 months may provide 30 days’ notice, while those with longer Membership durations are required to give 60 days' written notice prior to terminating their membership. The notice is effective upon receipt by the coworking space, and members are responsible for ensuring delivery.

Members remain responsible for all fees and obligations during the notice period. Failure to provide the required notice may result in additional fees or penalties. The coworking space may terminate a membership immediately for breaches of the terms and conditions, including non-payment, rule violations, or detrimental conduct. Members facing financial hardship may discuss accommodations with the coworking space; however, this does not waive the requirement for notice. This clause is binding and may only be amended in writing with signatures from both parties. Disputes regarding termination shall be resolved through arbitration or mutually agreed-upon methods, governed by the laws of Victoria, Australia.

This clause supersedes prior termination agreements and remains effective after membership termination. The member may not assign this clause without written consent; the coworking space may assign it without consent. Electronic signatures are acceptable. If any provision is deemed invalid, the remaining provisions shall remain in effect.

11. Vacant Possession Upon Expiration or Termination

Upon the expiration of the Membership term or earlier termination thereof, the Member agrees to vacate the desk or office space they have been allocated. The Member shall return the desk or office to Workers Hut in the same condition as it was provided, subject to normal wear and tear. Any damages beyond normal wear and tear will be the responsibility of the Member, and repair or replacement costs may be charged to the Member accordingly. Members must remove all personal property and ensure the space is left clean and free of debris.

12. Liability and Indemnification

Workers Hut is not liable for any damage, loss, theft, or personal injury arising during your use of our services. You are solely responsible for your property and personal safety during your time in the Space. We are not liable for indirect damages, including loss of profits or business interruptions, from your use of the Services. You are also responsible for any damage or loss to the Facilities or equipment caused by your activities.

You agree to indemnify and hold harmless Workers Hut, its affiliates, officers, agents, and employees from any claims or expenses that result from your use of the services.

It is your responsibility to ensure that your property is suitable for use and is safe. Any electrical equipment you bring into the Space must be inspected and assessed according to AS/NZS 3760:2010.

Occasionally, unforeseen events may occur, such as strikes, accidents, or natural disasters, which prevent us from providing services. In such cases, Workers Hut is not liable for any delays or failures in fulfilling our obligations.

Workers Hut will only be liable for damage, loss, or theft of property if it is due to gross negligence or wilful misconduct on our part.

13. Disclaimer of Warranties

The Services are provided “as is,” without any warranties, either express or implied. While we aim to deliver reliable and uninterrupted Services, we do not guarantee that they will always be free of errors or disruptions. Members acknowledge that they use the Services at their own risk.

Occasional disruptions may occur due to maintenance, upgrades, or unforeseen circumstances. Workers Hut will make reasonable efforts to notify Members in advance of any planned interruptions whenever possible.

14. Security & Confidentiality

The Member acknowledges that the Member may have access to confidential information belonging to us and/or other Members (“Confidential Information”). The Member agrees not to use or disclose any Confidential Information for any purpose other than for the Member’s use of the Services. Confidential information includes, but is not limited to, business plans, trade secrets, and confidential communications.

We make no representations about the security of our internet connection, and you must take reasonable security measures (i.e., encryption) as are necessary for your business or enterprise.

If a member suspects a breach of confidentiality, they must report it to Workers Hut immediately. Workers Hut will investigate and take proper action, including legal measures if necessary.

15. Intellectual Property

All intellectual property rights in the Services and Facilities are owned by us or our licensors, and nothing in these Terms and Conditions gives you any right to use any intellectual property of ours or our licensors.

16. Member Property

You are solely responsible for your property brought into the Space. We will not be liable for any loss or damage to your property, whether caused by our negligence or otherwise. You should ensure that your property is adequately insured.

17. Health and Safety

All Members must adhere to applicable health and safety regulations and policies, including any specific guidelines provided by Workers Hut. This includes:

• Maintaining cleanliness in shared areas.

• Following posted health directives.

• Promptly reporting safety concerns or incidents to our staff.

We reserve the right to remove any Member or guest who poses a health or safety risk to others.

Members must also follow emergency procedures, including fire and evacuation plans. Failure to follow these guidelines may result in suspension or termination of Membership. We encourage all Members to familiarise themselves with first-aid locations and emergency exits upon entering the Space.

If you are diagnosed with or suspect you have a contagious illness (including COVID-19), you must notify management, refrain from entering the Space, and follow public health guidelines. You may return only after isolation and adherence to these guidelines. Non-compliance may lead to suspension or termination of your Membership.

Members must comply with current public health guidelines as communicated by Workers Hut, which may include providing proof of vaccination, following isolation protocols, or undergoing testing before entering the Space.

18. Guest Policy

Members are welcome to bring guests into the Space per our guest policy. To ensure a smooth process, please register all guests with us at least 24 hours in advance. Members are responsible for their guests' conduct while in the Space and must ensure compliance with all Terms and Conditions.

• Members may bring one guest for up to two hours per visit.

• If a guest wishes to stay beyond the two-hour limit, a day pass can be purchased directly through the Portal.

• For longer meetings or if you wish to bring additional guests, please contact Workers Hut in advance to discuss appropriate arrangements.

Guests are permitted in the Space only during business hours, which are 9 am to 5 pm, Monday to Friday, excluding public holidays.

19. Dispute Resolution

If a dispute arises, both parties will first attempt informal resolution. If unsuccessful, mediation will follow, and if it fails, the parties may pursue legal action.

• Mediator Selection: Both parties shall agree on a mediator within 14 days of the dispute arising.

• Mediation Schedule: Mediation sessions will be scheduled within 30 days following the selection of the mediator.

• Further Action: If mediation fails, the parties may proceed to arbitration or legal action as per Victorian law.

This process aims to facilitate a fair resolution while minimising disruption for both parties.

20. Privacy

Workers Hut is committed to protecting your privacy. All personal information will be managed in accordance with the Australian Privacy Principles. 21. Cookies

We are committed to ensuring that our services are secure and user-friendly for all our customers. To achieve this, we use a variety of technologies, including cookies, to collect and store information about your use of our services. 22. Amendments to Terms and Conditions

Workers Hut reserves the right to modify these terms and conditions at any time without prior notice to the members. The updated terms and conditions will be posted on the Workers Hut website. Members are responsible for regularly reviewing the terms and conditions to stay informed of any changes. Your continued use of the Services following the posting of any changes to these Terms and Conditions constitutes your acceptance of the amended Terms and Conditions.

23. Confidential Information

Members must maintain confidentiality regarding any proprietary or sensitive information obtained while using the Services. Members must not disclose any Confidential Information without prior written consent from us. Any breach of confidentiality may result in suspension or termination of Membership and possible legal action.

24. Code of Conduct

All members are expected to conduct themselves professionally and respectfully within the Space. Disruptive or harmful behaviours, including harassment, intimidation, or discrimination, will not be tolerated. Members who violate this Code of Conduct may face immediate suspension or termination of Membership.

25. Accessibility Statement

Workers Hut strives to be inclusive and accessible to all Members. Specific accommodations for individuals with disabilities are available upon request. Members should contact management to discuss any specific needs or requests for assistance.

26. Insurance Requirements

All Members are required to maintain adequate insurance for their property and any potential liabilities incurred while using the Space. Proof of insurance may be requested by Workers Hut at any time. We are not responsible for any loss, damage, or liability that may arise from the use of the Services.

27. Environmental Responsibility

Members are encouraged to minimise waste and recycle in designated areas. Workers Hut provides recycling bins and promotes energy-saving measures such as turning off equipment when not in use. We reserve the right to implement specific environmental policies that all Members must adhere to.

28. Social Media Policy

Members are encouraged to engage with the community and share their experiences on social media. To maintain a respectful and safe environment for all Members, the following guidelines must be adhered to:

a. Confidentiality: Members must not share any confidential information related to Workers Hut, its members, or any business activities that occur within the Space without explicit consent. This includes discussions, presentations, and proprietary materials.

b. Respect for Privacy: Members must respect the privacy of fellow Members. Before posting any images, videos, or content that features other Members or their workspaces, Members must ensure they have obtained the necessary permission.

c. Positive Representation: Members should aim to represent the Workers Hut community positively. When sharing experiences, events, or collaborations, Members should reflect the values of respect and inclusivity.

d. Appropriate Content: Members must refrain from posting content that could be considered offensive, derogatory, or harmful. This includes hate speech, personal attacks, or any content that may create a hostile environment for others.

e. Professionalism: Members must remember that their online presence reflects not only on themselves but also on the Workers Hut community. Maintaining a professional tone is essential, and Members should be mindful of how their posts may be perceived by others.

29. Emergency Contact Information

In case of emergencies, Members should contact our staff immediately and follow all emergency procedures outlined in the Space. Emergency contact information is available at designated locations throughout the Space.

30. Feedback Mechanism

Members are encouraged to provide feedback about their experiences, suggestions, or concerns regarding the Services or Facilities. Regular surveys and check-ins may be conducted to gather feedback, and Members are encouraged to participate. You can submit feedback via email to ([email protected])

31. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of Victoria, Australia. Any disputes arising under these Terms and Conditions shall be subject to the exclusive authority of the courts located in Victoria, Australia.

32. Entire Agreement

These terms and conditions constitute the entire agreement between Workers Hut and its members and supersedes all prior agreements and understandings, whether written or oral, relating to the use of Workers Hut co-working service.

By using Workers Hut co-working service, members agree to be bound by these terms and conditions. If you do not agree to these terms and conditions, please do not use Workers Hut co-working service.

33. Acceptance

By signing up for Membership and using our Services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
